Acceptance of Terms
By accessing or using any portal or service provided by AmericanPortals.com ("AmericanPortals," "we," "us"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use our services.
These terms apply to all clients, visitors, and users of any portal configured, deployed, or operated by AmericanPortals under any subscription plan.
Intellectual Property
AmericanPortals grants the client a non-exclusive, non-transferable, revocable license to use the portal web application configured for their organization. This license is active only during a paid, current subscription period.
The following remain the exclusive property of JD Consulting at all times, regardless of customization:
The source code, Firebase architecture, data visualization logic, Apps Script integrations, configuration templates, and any processing algorithms developed by AmericanPortals. The client does not acquire ownership of any underlying software, code, or infrastructure by virtue of subscribing.
You are purchasing use of the platform — not the platform itself. An active subscription grants the right to use. Cancellation or non-payment revokes that right automatically.
Kill-Switch — Automatic Suspension
AmericanPortals operates an automatic suspension mechanism ("kill-switch") triggered by confirmed payment failure via Stripe. The following process applies:
Notice: The client receives a payment failure notification 7 days before suspension is executed. A reminder is sent at 3 days and again at 24 hours.
Suspension: If payment is not resolved within the 7-day grace period, the portal is suspended automatically. The portal displays a service-interrupted screen to end users.
Data integrity: During suspension, the client's Google Sheet data remains fully intact and accessible to the client. AmericanPortals does not delete, alter, or transfer client data upon suspension.
Reactivation: Once payment is resolved via Stripe, the portal is reactivated immediately — typically within minutes.
The client retains their data at all times. Upon suspension or cancellation, the client loses access to the portal interface — not to their underlying data.
Client Data
AmericanPortals does not claim ownership over any data entered or stored by the client in their Google Sheet. The client owns their data entirely.
AmericanPortals has read-only access to the client's Google Sheet solely for the purpose of operating and rendering the portal. This access is not used for any commercial purpose unrelated to the client's service.
AmericanPortals does not sell, share, rent, or disclose client data to any third party, except as required by applicable law or as necessary to operate the service (e.g., Firebase infrastructure provided by Google).
Service Level Agreement (SLA)
AmericanPortals guarantees portal availability in accordance with Firebase Hosting's published SLA of 99.9% uptime. Scheduled maintenance windows, if any, are communicated via email at least 48 hours in advance.
AmericanPortals is not responsible for downtime caused by third-party services including but not limited to Google Firebase, Cloudflare, Google Sheets, or Stripe. Force majeure events are excluded from SLA calculations.
Support requests are addressed within 2 business days via email. Emergency portal issues (complete outage) are prioritized with a 24-hour response commitment.
Subscription & Payment
Subscriptions are billed monthly or annually through Stripe. All plans require a valid payment method on file, including during the 30-day free trial period.
Prices: Standard $299/month (or $2,990/year) · Professional $499/month (or $4,990/year). Pricing is in US Dollars and may be updated with 30 days' notice to active clients.
Clients manage their own subscription, invoices, and payment methods through the Stripe Customer Portal, accessible from their account dashboard. AmericanPortals does not manually process payments or store card information.
Limitation of Liability
AmericanPortals provides the service "as is" and makes no warranties, express or implied, beyond those explicitly stated in these terms. To the maximum extent permitted by applicable law, AmericanPortals shall not be liable for indirect, incidental, or consequential damages arising from use of the service.
Total liability shall not exceed the amount paid by the client in the 30 days immediately preceding the claim.
Modifications to Terms
AmericanPortals reserves the right to update these Terms at any time. Clients will be notified of material changes via email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
